FIRST AMENDMENT
TO
MASTER SERVICES AND LICENSE AGREEMENT
This FIRST AMENDMENT TO MASTER SERVICES AND LICENSE
AGREEMENT (this “1st Amendment”) dated ________ 2021 between
Accelerate Education Incorporated and Bonneville Joint School District 93.
RECITALS
Whereas, ACCELERATE and Customer entered into a Master Services and License
Agreement effective as of August 12, 2020 (“Effective Date”); and Whereas, each of the
parties now desire to amend the terms of that Agreement.
Now, therefore, the parties hereto hereby agree as follows.

1. Amendments to the Agreement
Exhibit B of the Agreement is hereby amended and restated to read in its entirety as
follows:

2. Miscellaneous
(a) The headings contained in this Amendment are for reference purposes on ly and
shall not affect in any way the meaning or interpretation of this Amendment.
(b) Except as expressly amended and modified by this Amendment, the Agreement
shall continue in full force and effect and is hereby ratified and confirmed in all respects .
