CONTRACTUAL AGREEMENT
This AGREEMENT entered into by Bonneville Joint School District S93, located in Bonneville County, hereinafter
relerredtoastheDistrict,and@hereinafterreferredtoasthe
Contractor, is for the fiscal yeat 2Ol4-15, beginninB July 1, 2014.
SERVICES. Contractor agrees to provide services to repair and maintain copy machines located throughout the
Distrlct, respondlng to copier problems ln a timely manner. ln addition, Contractor will maintain a service log
tracklng servlce calls and repair parts by building.
FEES. ln consideration for Contractor performing all obli8ations under this Agreement, the District aBrees to
pay Contractor a monthly fee of S2,708.33, for an annual amount o, 532,500.00. ln addition, Contractor may
request payment for parts/supplles purchased to service this contract by submitting a detailed invoice to the
District.
PAYMENT TERMs. The payment terms are net 30 days.
TERM AND TERMINATION. The term of this A8reement begins on July 1, 2014 and expires June 30, 2015.
TERMINATION FOR BREACH. lf either party breaches any provision contained in this Agreement, and the
breach is not cured within thirty (30) days after the breaching party receives notices of the breach from the
non-breaching party, the non-breaching party may then deliver a second notice to the breachinB party
immediately terminating this Agreement.
GENERAt. This agreement is the entire agreement between the parties and supersedes all earlier and
simultaneous agreements regardlng the subject matter, including, without limltation, any lnvoices, business
forms, purchase orders, proposals or quotations.
BUILDING ACCESS. ln accordance with ldaho Code 33-130 and District policy, Contractor agrees to be
fingerprinted and havea criminal background check. lf the results ofthe background check determine the
Contractor is ineligible to work in a public school setting, this Agreement will be null and void. The Contractor
will be given accesstothose facillties with copy machines that need serviced underthis contract. Access to
school facilities is for business purposes only and Contractor agrees to follow all District rules and policies
regarding building access.
Contractor a8rees that as an independent contractor, he is not eliglble for dlstrict benefits of any kind.
Contractor agrees to maintain liability lnsurance in the minimum amount of S1,000,000 and worke/s
compensatlon coverage. Contractor will provide the District with a completed IRS form W-9,
hereto have caused this agreement to be executed in their names by their
