Between Williomsbarg Learning and
Bonneville School District
Parties
Williamsburg Learning ( "WL ") is a curriculum provider based in Saint George, Utah. Bonneville
School District ( "Bonneville ") is a public school district based in Idaho Falls, ID. Set forth in this
document ( "Agreement ") is the mutual intent of WL and Bonneville to work together to bring
online courses featuring The Williamsburg Curriculum ( "TWC) to Idaho families during the 2017
-- 18 school year. Bonneville students who take WL courses are referred to as "shared
students."
WL Responsibilities
1. Provide to any shared student, on a part -time or full -time basis, online curriculum that is
aligned to Common Core Standards and/or Idaho State Standards (as applicable) in
Math, Language Arts, Science, and Social Studies. Provide courses (standards - aligned
as applicable) in additional subjects within TWC as requested by shared students.
2. Assist Bonneville in the fulfillment of all academic, safety, compliance, and other
responsibilities related to delivering state - funded education. This includes provision of a
clean and safe learning environment (when applicable, as in the case of the Elevation
outdoor course), provision of all student and parent information needed for Bonneville to
fulfill its educational obligations, assurance that WL will encourage shared students to
participate in mandated testing, and assurance that students are given the time and
support needed to achieve proper levels of education and course completion.
3. Obtain and keep on file a copy of a government - issued background check and/or
fingerprint clearance card, or equivalent certification, for each WL staff member who will
work with shared students; and provide copies to Bonneville upon request.
4. Have all WL staff members who will interact with shared students sign a confidentiality
agreement promising to protect student information, and provide a copy of said
agreement to Bonneville upon request.
5. Protect the confidential information of shared students in compliance with the federal law
known as FERPA, and the Idaho Student Data and Transparency Act of 2014.
6. Participate in Individual Education Plan meetings, parent/teacher conferences, and
similar meetings as necessary.
7. Provide guidance to Bonneville with regard to parent contact. This includes
communication regarding attendance, progress reporting, academic success, academic
probation, records concerns, behavior problems, etc.
8. Properly, and in a timely manner, document key events about each student in the WL
student information system (SIS) and/or learning management system (LMS).
9. Provide Bonneville teachers and administrators access to student files in the WL
SISILMS. upon request. Bonneville is the final repository of all student records.
10. Protect and insulate Bonneville from all liability related to operational and safety liabilities
existing in conjunction with WL- associated activities. WL and Bonneville will make good
faith efforts to include each other as additional insured in their insurance policies during
the terms of this agreement.
11.. Include Bonneville as an additional insured for the Elevation Outdoor Course.
12. Exercise good -faith efforts in marketing the services offered by this partnership.
13, Adjust Bonneville tuition liability for any tuition voided within the 21 -day satisfaction
guarantee.
Bonneville Responsibilities
1. Provide all state and distance required academic assessments to shared students, and
share test result data with WL as available and legally authorized.
2. Provide a certified online teacher of record who has current Idaho certification with
proper subject matter endorsements.
3. Provide to shared students, families, and staff, as appropriate, necessary administrative
support regarding record requests, appropriate student placement, transcripts, report
cards, parent notification of rights and other appropriate documentation as defined by
the Idaho State Department of Education.
4. Provide or participate in other educational services required under Idaho state statute for
students enrolled in public schools, including special education services, and
participation in Individual Education Plan meetings.
5. Exercise good -faith efforts in marketing the services offered by this partnership.
6. Pay to WL the tuition due for each course undertaken by shared students.
7. Allow shared students in grades 6 —12 to take any WL courses of their choosing and in
compliance with Idaho graduation requirements, up to a full -time load.
S. Provide required textbooks and other direct educational materials to each student, not to
exceed $150 for all courses, per semester.
Registration
Parents of Bonneville students will register for WL courses directly in the WL SIS, with
advisement from Bonneville. WL will provide to Bonneville access to login to the WL SIS to view
registration for shared students at any time. If Bonneville requires changes to this registration
process. to comply with state rules, WL and Bonneville will work together to determine a suitable
registration process as needed.
Student Status
Bonneville and WL acknowledge that shared students are enrolled in a public school, and as
such, are subject to all requirements of public school students in the state of Idaho. Bonneville
and WL both agree to make good faith efforts to act in the best interest of students; they agree
to comply with all applicable Idaho education laws and regulations.
Final Grades
Within 15 days of the end of each semester WL will recommend final grades for all shared
students available to Bonneville through the WL SIS login provided.
Compensation
WL will provide to Bonneville its normal 21- calendar -day refund guarantee period, which is 21
days from the beginning of a course or semester. After 21 days Bonneville will be liable for
tuition for all courses for which shared students are registered. If a student later withdraws or is
no longer active in a course, Bonneville will be liable on a pro -rata basis for the number of days
during which the student was enrolled.
WL shall create a billing spreadsheet showing all enrollments for shared students in WL courses
and share this information with Bonneville for review and correction as needed. This will be
done as soon as possible after the first day of a new semester in the months of August and
January, so that Bonneville will have time for a thorough review before the first fall semester
payment is due on October 1 and the first winter semester payment on February 1.
Bonneville shall compensate WL in 8 monthly payments, due on the 1st of October, November,
December, January, February, March, April, and May.
This Agreement does not apply to summer term. Neither WL nor Bonneville plan to provide
course to shared students under this Agreement during the summer.
Pricing for WL courses is per course per semester, as follows:
Courses for grades 6 - 12
• Live courses, $345
• Self -paced courses, $210
• Language courses, $170
• Independent courses, $115
• Elevation outdoor course, $460
Bonneville shall receive a 15% discount on all courses. WL shall charge Bonneville no more
than $1,500 per student per semester for the 2017 - 18 year for a standard course :load. Each
semester, after enrollment is finalized, WL will provide to Bonneville a list of total billable tuition
for all shared students. If any student's tuition exceeds $1,500, Bonneville shall not be liable to
pay the portion above $1,500.

The intent of this Agreement is to implement the above once both parties have signed below
and continue until 30 June 2018. During that period, based on further conversations and
operational experience, a renewal is optional.
Exceptions which allow Bonneville or WL to unilaterally terminate this agreement before the end
date include: compliance and other issues which jeopardize either party's, student and/or
employee safety, or staff certification; illegal action; and/or governmental law, action, policy or
mandate.
Dispute Resolution
The parties shall first attempt to resolve all disputes from the provisions contained in this
Agreement informally and at the lowest applicable staff level. if dispute resolution is not
accomplished, either party may call a meeting of the parties to formally discuss and resolve all
such disputes.
Modification
This Agreement constitutes the entire understanding between both parties. It may be modified,
altered, revised, extended, or renewed by mutual written consent of both parties by the issuance
of a signed and dated written amendment.
This Agreement completely supersedes any previous understanding, contract, or agreement
executed between Bonneville and WL.
Severability
If any part of this Agreement is found to be null and void or is otherwise stricken, the remaining
portions of this Agreement shall remain in full force and effect until renegotiated or rewritten.
