CONTRACTUAL AGREEMENT
This AGREEMENT entered into by Bonneville Joint School District #93, located in Bonneville County, hereinafter referred
to as the District, and NORM FUNKE dba Upper Valley Sales, hereinafter referred to as the Contractor, is for the fiscal
year 2017 -18, beginning July 1, 2017.
SERVICES. Contractor agrees to provide services to repair and maintain copy machines located throughout the District,
responding to copier problems in a timely manner. In addition, Contractor will maintain a service log tracking service
calls and repair parts by building.
FEES. In consideration for Contractor performing all obligations under this Agreement, the District agrees to pay
Contractor $.001853 per copy on copy machines assigned to Contractor for repairs. In addition, Contractor may request
payment for parts /supplies purchased to service this contract by submitting a detailed invoice to the District. An
estimate of 19,000,000 yearly copies will be used to base initial monthly payments on, with copy counts and payments
being reconciled prior to the ending date of the contract.
PAYMENT TERMS. The payment terms are net 30 days.
TERM AND TERMINATION. The term of this Agreement begins on July 1, 2017 and expires June 30, 2018.
TERMINATION FOR BREACH. If either party breaches any provision contained in this Agreement, and the breach is not
cured within thirty (30) days after the breaching party receives notices of the breach from the non - breaching party, the
non- breaching party may then deliver a second notice to the breaching party immediately terminating this Agreement.
GENERAL. This agreement is the entire agreement between the parties and supersedes all earlier and simultaneous
agreements regarding the subject matter, including, without limitation, any invoices, business forms, purchase orders,
proposals or quotations.
BUILDING ACCESS. In accordance with Idaho Code 33 -130 and District policy, Contractor agrees to be fingerprinted and
have a criminal background check. If the results of the background check determine the Contractor is ineligible to work
in a public school setting, this Agreement will be null and void. The Contractor will be given access to those facilities
with copy machines that need serviced under this contract. Access to school facilities is for business purposes only and
Contractor agrees to follow all District rules and policies regarding building access.
Contractor agrees that as an independent contractor, he is not eligible for district benefits of any kind. Contractor
agrees to maintain liability insurance in the minimum amount of $1,000,000 and worker's compensation coverage.
Contractor will provide the District with a completed IRS form W -9.
