1. Custo mer hereby certifies to HTF that all of the Equ ip ment described in the above-referenced Agreement between Customer and HTF (the defined terms of which apply hereto ) ha s been
received and inspected by Customer at the Equipment Location identified in the Agreement , and allsuch Equipment is fully installed and operational.
2. Customer irrevocably accepts of all of the Equ ipment and Soft Cos t Items for all purposes , including under the Agreement and any Supplier Agreement or other related documents.
Customer waives any further right to inspect or reject the Equ ipment and Soft Cost Items .
3. Customer hereby represents and warran ts that no event or condition has occurred that constitutes a Default under the Agreement , or that with notice or the lapse of tim e or both woul d
constitute a Default under the Agreement.
